For Brokers & Intermediaries
Bring us the right deal. We’ll give you a straight answer.
YC Media Holdings buys and operates digital marketing agencies, affiliate networks, healthcare businesses and the software that serves them. We work with business brokers, M&A advisors and marketplace sellers, and we respect your role and your fee agreement on every deal.

Acquisition criteria at a glance.
| Criteria | What we look for |
|---|---|
| Sectors | Digital marketing agencies (our main focus), affiliate networks, senior care, home health and fertility clinics, and software or apps serving these markets, including Shopify and SaaS apps. |
| Size | Typically $500K to $3M in EBITDA. We also consider smaller businesses in our sectors with recurring revenue. |
| Revenue quality | Recurring, retainer or subscription revenue; strong retention; no single client that dominates revenue. |
| Location | US businesses. We consider app and software businesses outside the US case by case. |
| Seller | An owner ready to exit or step back who will support a handover: typically three to six months for agencies and two to three months for apps. |
| Not a fit | Businesses outside our sectors, turnarounds with declining revenue and no clear cause, or businesses that depend entirely on one client or one person with no handover plan. |
How we work with you
What you can expect from us.
A quick yes or no
We review every submission and aim to respond within two business days. If it is not a fit, we say so, and why, so you can move on.
Your fee is respected
We will not go around you to your client. We sign your NDA or buyer agreement, or ours, and keep all communication through you unless you tell us otherwise.
Structure up front
We tell you early how we would structure a deal: cash at closing, seller note, earn-out or a mix. Your seller is not surprised at the LOI stage.
Valuation you can explain
We value businesses on verified SDE or adjusted EBITDA and show our work, so you can walk your client through the number.
What helps us move quickly
What to send.
For a first look (teaser)
- Sector, services and location
- Revenue and SDE or EBITDA for the last two to three years
- Revenue model: retainer, project, subscription or commission
- Asking price and preferred structure
- Reason for sale and the owner’s role today
After NDA
- CIM or offering memorandum
- Business tax returns for the last two to three years
- Monthly P&Ls, including year to date
- Bank statements that tie to reported revenue
- Add-back schedule with support
- Client list by revenue (anonymized is fine at first) and retention history
- Team and contractor summary, including location and role
- For apps: platform revenue exports, MRR movement and churn
Deals move fastest when the tax returns, bank deposits and P&L tell the same story. If they don’t, tell us early and explain why. We would rather hear it from you than find it in diligence.
Our process
From teaser to closing.
Teaser review
We confirm fit against our criteria and reply with a yes, a no, or specific questions.
NDA and CIM review
We sign the NDA, review the materials, and request any missing financials.
Seller call
A conversation with the owner, with you present, about the business, the team and the handover.
Indication of value and structure
We share a value range and proposed structure before a formal LOI, so key terms are agreed in writing first.
Letter of intent
Subject to due diligence and financing, with a defined exclusivity period.
Diligence, financing and closing
We confirm the numbers against tax returns and bank statements, finalize financing and close. If diligence turns up material differences, we raise them with you directly and promptly.
Broker questions
Frequently asked questions
How do you finance acquisitions?
Through a combination of our own equity, bank financing (including SBA-backed loans where the business is eligible), seller notes and earn-outs. The mix depends on the deal. We tell you up front which sources a given deal would use.
Can you provide proof of funds?
Yes. Once an LOI is agreed, we provide accurate proof of funds for the cash portion due at closing and, where bank financing is involved, the status of that financing.
Do you buy all-cash?
Sometimes, but all-cash offers usually come at a lower price. Most of our deals include a seller note or earn-out, which typically gets your client a higher total value.
Will you sign our buyer agreement or NDA?
Yes, in most cases. We review it promptly and only ask for changes when something conflicts with our existing businesses, for example an overly broad non-solicit.
Do you look at marketplace listings?
Yes. We review businesses listed on online marketplaces as well as broker-represented and direct opportunities.
Do you have an existing operating business?
Yes. We run DiscoverMyBusiness, a US digital marketing agency with an in-house development team, which takes on operational support for businesses we acquire.
