For Business Owners
Selling the business you built.
YC Media Holdings buys and operates digital marketing agencies, affiliate networks and healthcare businesses. We are a long-term owner, not a broker. This page explains how we value businesses, how our deals are structured, and what happens to your team and clients after the sale.

A buyer that intends to run the business.
Operating capability
We already run DiscoverMyBusiness, a US digital marketing agency with its own in-house development team. Acquired businesses get hands-on operating support from people who do this work every day.
Your team and clients stay
We buy businesses because of the people and client relationships behind them. Our plan is to keep your team, keep serving your clients, and add tools and back-office support around them.
Straight answers
We tell you early how we value your business and how a deal would be structured. If it is not a fit, we say so quickly so you can move on.
Confidentiality first
We sign a mutual NDA before any financial discussion. Your employees, clients and competitors will not hear about a sale from us.
What we look for
Is your business a fit?
| Criteria | What we look for |
|---|---|
| Sectors | Digital marketing agencies (our main focus), affiliate networks, and healthcare providers: senior care, home health and fertility clinics. We also consider software and apps that serve these markets. |
| Size | Typically $500K to $3M in annual EBITDA. We also look at smaller, well-run businesses that fit one of our sectors. |
| Revenue | Recurring or retainer revenue, strong client retention, and no single client that dominates revenue. |
| Location | United States. |
| Owner | An owner who wants to exit, step back, or take some money off the table, and is willing to support a handover. |
We work directly with owners and also with business brokers and M&A advisors. If you are represented, we are happy to work through your advisor.
How we value your business
Based on real, documented cash flow.
We value businesses on their verified earnings. For most businesses that is adjusted EBITDA. For owner-operated businesses where the owner does much of the work, we use seller’s discretionary earnings (SDE) and account for the cost of replacing the owner’s role.
- We work from tax returns and bank statements. Internal P&Ls are a useful starting point, but our offer is based on numbers we can verify.
- Add-backs need support. One-time or personal expenses can be added back when they are documented. Salaries for people who keep working in the business are a real cost.
- Trends matter. We look at the last two to three years and the most recent months. Growing, stable revenue is worth more than a single strong year.
- Prepaid client work is adjusted at closing. If clients have paid in advance for work still to be delivered, that amount is credited to the buyer at closing.
Most businesses in our range sell for a multiple of earnings that reflects size, growth, client concentration and how much the business depends on the owner. We will walk you through how we reached our number.
How deals are structured
Most deals combine several parts.
Very few acquisitions of this size are paid entirely in cash on closing day. Our deals usually combine some of the following, and we tailor the mix to your goals, the business and the financing available.
| Component | How it works |
|---|---|
| Cash at closing | Paid when the deal closes, funded by our equity and, where available, bank financing. This includes SBA-backed loans for eligible businesses. |
| Seller note | Part of the price is paid to you over time with interest, like a loan you make to the buyer. If the deal uses SBA financing, lender rules may require part of the note to start after a waiting (standby) period. |
| Earn-out | Additional payments tied to the business hitting agreed targets after closing, such as revenue levels. This bridges the gap when an owner expects growth that has not shown up in the numbers yet. |
| Rollover equity | In some deals you can keep a stake and share in the value we build across our portfolio. |
Why we use seller financing and earn-outs: they keep both sides invested in a smooth handover. Your clients and team see continuity, and you are paid for the full value of the business you built. All-cash offers are possible, but they usually come at a lower price because the buyer carries all of the risk.
After the sale
What happens to your team, your clients and you.
Your team
We plan to keep your people. Key employees and contractors are often the reason a business is worth buying. We agree with you how and when they are told.
Your clients
We introduce ourselves to clients together with you, on a timeline we agree. Service continues without interruption.
Your role
We ask owners to support a paid or agreed handover, typically three to six months for agencies and two to three months for software and apps. Some owners choose to stay longer.
The process
From first call to closing.
Introductory call
A no-obligation conversation about your business and your goals. No financials needed yet.
Mutual NDA
Signed before any financial information is shared.
Financial review
We review your recent tax returns, bank statements and P&Ls, then share a preliminary valuation range and how we reached it.
Letter of intent (LOI)
A short document setting out the price, structure and key terms. It is subject to due diligence and financing and includes a period of exclusivity while we complete our review.
Due diligence and financing
We confirm the financial, legal and operational details and finalize our financing. Your advisors and ours prepare the purchase agreement.
Closing and handover
Documents are signed, closing payments are made, and the agreed transition begins.
Timing depends on the business, the quality of its records and the financing involved. We aim to move quickly and will give you a realistic timeline after the financial review.
Questions owners ask
Frequently asked questions
What do I need to share to get a valuation?
After we sign an NDA: your last two to three years of business tax returns, year-to-date and monthly P&Ls, recent bank statements, and a summary of your clients and team. We will tell you exactly what we need.
Will my employees or clients find out?
Not from us. Everything is covered by an NDA, and we agree with you when and how your team and clients are told, usually close to or after closing.
Why won't you pay all cash at closing?
Sometimes we can, but usually at a lower price. Seller notes and earn-outs let us pay more for the business overall, and they show your clients and team that you stand behind the handover.
Is the letter of intent binding?
The price and terms in an LOI are not binding. They are subject to due diligence, financing and a final purchase agreement. Certain provisions, such as confidentiality and exclusivity, are binding. Only the signed purchase agreement commits both sides to the sale.
My business is smaller than $500K EBITDA. Should I still reach out?
Yes, if it fits one of our sectors and has steady, recurring revenue. We look at smaller businesses case by case.
I already work with a broker. Can we still talk?
Yes. We work with brokers and advisors regularly and respect your agreement with them.
Do I have to stay after the sale?
We ask for a defined handover period so clients and staff have continuity. After that, it is your choice. Some owners leave; others stay on in a role that suits them.
How is a healthcare acquisition different?
Healthcare deals involve licenses, payer contracts and patient privacy rules. Any patient information is handled only as the law allows, and licensing and regulatory approvals are planned into the timeline from the start.
This page is general information, not an offer to buy any business or legal, tax or financial advice. Each transaction depends on due diligence, financing and a signed purchase agreement. Please speak with your own advisors before deciding to sell. See our Terms of Use.
