These Terms of Use (“Terms”) govern your use of ycmediaholdings.com (the “Site”), operated by YC Media Holdings, LLC, a Delaware limited liability company based in New York, New York (“YC Media Holdings,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site provides general information about YC Media Holdings, our acquisition strategy and the types of businesses we seek to acquire. It also lets business owners and their representatives contact us. The Site is intended for business professionals in the United States who are at least 18 years old.

2. No offer or commitment

Nothing on the Site is an offer to buy any business, an offer to sell or a solicitation of an offer to buy any security or investment, or a commitment to enter into any transaction.

• Acquisition criteria, valuation ranges, multiples, timelines and other figures on the Site describe our general targets and approach. They are not guarantees, and actual terms and timing depend on each transaction.
• A transaction becomes binding only when we sign a definitive written agreement. Any letter of intent or term sheet is non-binding except for provisions it expressly states are binding (such as confidentiality and exclusivity), and remains subject to due diligence, financing and definitive documentation.
• Contacting us or exchanging information with us does not create any obligation on either side to complete a transaction.

3. No professional advice

Content on the Site is for general information only and is not legal, tax, accounting, financial or investment advice. We act only for ourselves in any transaction. We are not your broker, advisor, agent or fiduciary. You should consult your own professional advisors before making decisions about selling your business.

4. Information you submit

When you submit information through the Site, you confirm that it is accurate to the best of your knowledge and that you have the right to share it. We handle personal information as described in our Privacy Policy.

We ask to sign a non-disclosure agreement (NDA) before any detailed financial discussion. Please limit initial inquiries to general information, and do not send detailed financial records, customer lists, trade secrets, patient or health information, or other sensitive data through the Site. Until an NDA is signed, information you send us is not subject to any confidentiality obligation beyond those in our Privacy Policy and applicable law. Once an NDA is signed, that NDA governs the confidential information it covers.

5. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or misleading purpose;
• submit false information or impersonate any person or business;
• send spam, unsolicited advertising or malicious code;
• attempt to gain unauthorized access to the Site or its systems, or interfere with its operation;
• scrape, copy or harvest content or data from the Site by automated means without our written permission.

6. Intellectual property

The Site and its content, including text, graphics, logos and design, are owned by or licensed to YC Media Holdings and are protected by intellectual property laws. You may view and print pages for your own non-commercial use. You may not copy, modify, distribute or create derivative works from the Site’s content without our prior written consent. “YC Media Holdings” and our logo are our trademarks; all other names and marks belong to their respective owners, and their mention does not imply any affiliation or endorsement.

7. Third-party links and services

The Site may link to or rely on websites and services we do not control. We are not responsible for their content, availability or practices. Your use of them is at your own risk and subject to their terms.

8. Disclaimers

The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure, or that its content is complete, accurate or current.

9. Limitation of liability

To the fullest extent permitted by law, YC Media Holdings and its members, managers, officers, employees, affiliates and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, revenue, data or business opportunities, arising from or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. Our total liability for any claim arising from or related to the Site will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. This section does not limit liability under any signed agreement between you and us, which is governed by its own terms.

10. Indemnification

You agree to indemnify and hold harmless YC Media Holdings and its members, managers, officers, employees, affiliates and agents from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Site.

11. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.

12. Privacy

Our Privacy Policy explains how we collect and use personal information and is part of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date above. Your continued use of the Site after changes are posted means you accept the updated Terms. We may also change, suspend or discontinue the Site at any time.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site. They do not replace any NDA, letter of intent or other written agreement you sign with us, which govern their own subject matter.
